Welcome to Black Site Coffee Company! The terms “we,” “us,” and “our” refer to Black Site Coffee Company, a Tennessee limited liability company operating under Iron Hive Coffee LLC. Black Site Coffee Company operates this website and online store, including all related information, content, features, tools, products, and services (collectively, the “Services”). Our Services are powered by Shopify.

These Terms of Service (“Terms”), together with our Privacy Policy, describe your rights and responsibilities when using the Services. Please read these Terms carefully, as they include important information about your legal rights, including warranty disclaimers, limitations of liability, and dispute resolution. All product descriptions, availability, and pricing are subject to change at any time without notice, at our sole discretion. We reserve the right to discontinue any product at any time and may limit quantities offered to any person, geographic region, or jurisdiction.

SECTION 3 – ORDERS

When you place an order, you are making an offer to purchase. Black Site Coffee Company reserves the right to accept or decline your order for any reason. Your order is not accepted until we confirm acceptance. Payment must be received and processed before acceptance.

Please review your order carefully before submitting, as we may be unable to accommodate cancellation requests after an order is accepted. If we do not accept, modify, or cancel an order, we will attempt to notify you using the contact information provided at the time of order.

You represent and warrant that your purchases are for personal or household use and not for commercial resale or export.

SECTION 4 – PRICES AND BILLING

Prices, discounts, and promotions are subject to change without notice. The price charged will be the price in effect when the order is placed, as confirmed in your order confirmation email. Unless otherwise stated, posted prices do not include taxes, shipping, handling, customs, or import charges.

Online prices may differ from prices in physical stores or third-party retailers. Promotions offered through the Services are governed by their own terms; in the event of a conflict between promotional terms and these Terms, the promotional terms govern.

You agree to provide current, complete, and accurate purchase, payment, and account information for all purchases. You agree to promptly update your account information so we can complete your transactions and contact you as needed.

You represent and warrant that (i) the payment information you provide is true, correct, and complete; (ii) you are authorized to use such payment method; (iii) charges will be honored by your payment provider; and (iv) you will pay all charges at posted prices, including applicable taxes and shipping.

SECTION 5 – SHIPPING AND DELIVERY

All delivery times are estimates only and are not guaranteed. We are not liable for shipping or delivery delays caused by carriers, customs processing, weather, or other events outside our control. Once products are transferred to the carrier, title and risk of loss pass to you.

SECTION 6 – RETURNS AND REFUNDS

Due to the perishable nature of coffee products, all sales are final unless the product arrives damaged, defective, or materially different from what was ordered. If you receive a damaged or defective product, please contact us at info@blacksitecoffee.com within 7 days of delivery with your order number and a photo of the issue. We will, at our discretion, issue a replacement or refund.

Non-coffee merchandise may be returned within 30 days of delivery in unused, original condition. Customer is responsible for return shipping costs unless the return is due to our error.

SECTION 7 – INTELLECTUAL PROPERTY

Our Services, including all trademarks, brands, text, displays, images, graphics, product reviews, video, audio, and the design, selection, and arrangement thereof, are owned by Black Site Coffee Company, its affiliates, or licensors and are protected by United States and international intellectual property laws.

These Terms permit you to use the Services for personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material on the Services without our prior written consent.

Black Site Coffee Company’s names, logos, product and service names, designs, and slogans are trademarks of Black Site Coffee Company or its affiliates. Shopify’s name, logo, and related marks are trademarks of Shopify. All other marks are the property of their respective owners.

SECTION 8 – OPTIONAL TOOLS

You may be provided access to third-party tools as part of the Services, which we neither monitor nor control. Access to such tools is provided “as is” and “as available” without any warranties or endorsement. We have no liability arising from your use of third-party tools.

SECTION 10 – RELATIONSHIP WITH SHOPIFY

Black Site Coffee Company is powered by Shopify. However, all sales and purchases are made directly with Black Site Coffee Company. By using the Services, you acknowledge that Shopify is not responsible for any aspect of sales between you and us. You expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from your transactions with Black Site Coffee Company.

We may terminate this agreement or your access to the Services (or any part thereof) at any time without notice. You remain liable for all amounts due through the date of termination.

WE DO NOT GUARANTEE THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THE ABOVE MAY NOT APPLY TO YOU.

SECTION 18 – LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BLACK SITE COFFEE COMPANY, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCTS OBTAINED THROUGH THE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

SECTION 19 – INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Black Site Coffee Company, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities, or claims, including reasonable attorneys’ fees, arising from (1) your breach of these Terms; (2) your violation of any law or third-party rights; or (3) your access to and use of the Services.

We will notify you of any indemnifiable claim, though failure to promptly notify will not relieve your obligations unless you are materially prejudiced. We may control the defense and settlement of such claim at your expense, but will not settle any claim requiring non-monetary obligations from you without your consent (not to be unreasonably withheld).

Informal Resolution. Before filing any formal proceeding, you agree to first contact us at info@blacksitecoffee.com and attempt to resolve the dispute informally for at least 30 days.

Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions.

Jurisdiction. You and Black Site Coffee Company consent to the exclusive jurisdiction of the state and federal courts located in Lincoln County, Tennessee.

SECTION 21 – SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall be enforceable to the fullest extent permitted by law, and the unenforceable portion shall be severed without affecting the validity of the remaining provisions.

SECTION 22 – WAIVER AND ENTIRE AGREEMENT

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

These Terms, together with our Privacy Policy and any policies posted on our website, constitute the entire agreement between you and Black Site Coffee Company regarding your use of the Services, superseding any prior agreements or communications.

SECTION 23 – ASSIGNMENT

You may not transfer or assign these Terms or any rights or obligations without our prior written consent; any attempt to do so is null and void. We may transfer, assign, or delegate these Terms without your consent or notice.
